Terms of Service

Please read these Terms of Service (“Terms”) carefully before using Ecom Smartify POS. By creating an account or using our services, you agree to be bound by these Terms.

1. Introduction

These Terms govern your access to and use of Ecom Smartify POS’s software, websites, and related services (collectively, the “Service”). If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

2. Definitions

  • Account: Your registered profile to access the Service.
  • Content: Data, text, images, or other materials uploaded or generated within the Service.
  • Order: A completed subscription sign-up, plan change, or add-on enabled within the Service.

3. Accounts & Eligibility

  • You must be at least 18 years old and able to form a binding contract.
  • You are responsible for maintaining the confidentiality of login credentials and for all activities under your Account.
  • Provide accurate Account information and keep it up to date, including billing contact details.

4. Subscriptions & Billing

  • Plans. Starter is priced at PKR 5,699/month for one branch. Growth is PKR 9,999 per branch / month. Prices are exclusive of taxes unless stated otherwise.
  • Per-branch billing. Growth is billed per active branch. Adding branches during a billing cycle may result in prorated charges.
  • Add-ons. Optional add-ons (e.g., Online Store) may be billed separately on a monthly basis.
  • Auto-renewal. Subscriptions renew automatically each month until canceled.
  • Cancellation. You can cancel at any time from Settings; your plan remains active through the paid period. No partial refunds for unused time unless required by law.
  • Payments. You authorize us and our payment processors to charge your payment method for all Fees due. Unpaid Fees may result in limited or suspended access.

5. Acceptable Use

You agree not to misuse the Service. Prohibited activities include, without limitation:

  • Accessing the Service using automated means not provided by us;
  • Reverse engineering, modifying, or creating derivative works of the Service;
  • Uploading malicious code, violating privacy, or infringing intellectual property;
  • Overloading the Service or interfering with other customers’ use;
  • Using the Service for unlawful activities or to process illegal content.

6. Data & Privacy

We process personal data as described in our Privacy Policy. You are responsible for notices and consents required for your data subjects (e.g., staff or customers) whose data you enter into the Service.

7. Security

Security commitments
  • Transport-level encryption and role-based access controls;
  • Least-privilege defaults for staff roles where applicable;
  • Audit trails for sensitive actions in admin areas.

8. Service Availability & Support

  • We target 99.9% monthly uptime excluding scheduled maintenance.

  • We may modify or discontinue features with reasonable notice when feasible.

9. Suspension & Termination

  • We may suspend or terminate access for material breaches, including non-payment or repeated Acceptable Use violations.
  • Upon termination, your right to use the Service ceases. Certain sections survive termination (e.g., Disclaimers, Limitation of Liability).

10. Disclaimers

The Service is provided on an “as is” and “as available” basis. Ecom Smartify POS disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

11. Limitation of Liability

To the maximum extent permitted by law, Ecom Smartify POS shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, goodwill, or data. Our aggregate liability arising out of or relating to these Terms shall not exceed the greater of PKR 50,000 or the amount paid by you to Ecom Smartify POS in the 3 months preceding the event giving rise to the claim.

12. Indemnity

You agree to indemnify and hold harmless Ecom Smartify POS, its affiliates, and their officers, directors, employees, and agents from any claims, damages, liabilities, and expenses arising from your use of the Service or violation of these Terms.

13. Changes to the Terms

We may update these Terms from time to time. If changes are material, we will provide notice (e.g., via the app or email). Continued use after the effective date constitutes acceptance of the updated Terms.

14. Governing Law & Disputes

These Terms are governed by the laws of Pakistan, without regard to conflict of laws principles. You agree to the exclusive jurisdiction of the courts located in Lahore, Pakistan for any disputes arising out of or relating to these Terms or the Service.
